Overview

Venue Vending Ventures LLC may offer vending solutions involving nicotine products, electronic nicotine delivery systems, vaping products, tobacco products, or other merchandise that is legally restricted based on a purchaser's age. This Notice explains important limitations and compliance requirements relating to those placements.

1. Age-Restricted Vending Is Limited to Eligible Locations

Age-restricted vending is not available at every business or venue. Before considering a placement, Venue Vending Ventures may review factors including venue type, whether persons under 21 are permitted to enter, location and accessibility of the proposed machine, applicable federal requirements, applicable state requirements, local laws and ordinances, licensing and permitting requirements, product restrictions, required age-verification procedures, machine configuration, operational controls, and other compliance considerations.

Venue Vending Ventures may decline, suspend, relocate, modify, or discontinue an age-restricted placement if we determine that the location or proposed operation does not satisfy our requirements or applicable law. Submitting a placement request does not guarantee approval.

2. Sales to Persons Under 21 Are Prohibited

Age-restricted nicotine and tobacco products offered through Venue Vending Ventures are intended only for persons who have reached the minimum legal purchasing age applicable to the product and jurisdiction. For tobacco and nicotine products regulated under United States federal law, the minimum purchasing age is 21.

Products subject to a minimum age requirement must not be sold, provided, furnished, delivered, or otherwise made available to an individual who does not meet the applicable legal age requirement. Venue partners must not knowingly assist, encourage, or permit an underage person to access an age-restricted vending machine or purchase an age-restricted product.

3. Federal Vending-Machine Restrictions

Certain age-restricted products are subject to specific federal vending-machine restrictions. For electronic nicotine delivery systems, including e-cigarettes and similar vaping products, federal rules generally prohibit vending-machine sales in facilities where individuals under 21 are present or permitted to enter at any time.

Accordingly, the presence of age-verification technology by itself does not necessarily make a location eligible for an age-restricted vending machine. Venue Vending Ventures evaluates proposed placements based on the laws and regulatory requirements applicable to the particular product, venue, and jurisdiction.

4. Age-Verification Technology

Some vending equipment used by Venue Vending Ventures may support age-verification technology or other access-control features designed to verify identification or restrict access to age-restricted products.

Age-verification technology is a compliance tool. It is not a substitute for compliance with applicable law. The existence of an ID scanner, driver-license reader, age-verification system, lockout system, employee-controlled access system, payment-verification system, or other technological safeguard does not, by itself, establish that a particular product or machine placement is legally permitted. Venue eligibility must be evaluated independently.

5. Identification and Age Verification

Where identification verification is required, purchasers may be required to present valid government-issued identification or satisfy another legally permitted verification method before purchasing an age-restricted product. Acceptable identification requirements may vary by jurisdiction.

Venue Vending Ventures, a venue partner, payment provider, age-verification provider, or other service provider may refuse or prevent a transaction if age cannot be adequately verified, identification appears invalid, identification appears altered or fraudulent, the purchaser does not meet the minimum legal age, the verification technology cannot complete the verification, or the transaction raises compliance or security concerns. No person has a right to complete an age-restricted vending transaction merely because payment was attempted.

6. Venue Eligibility

Age-restricted vending placements may be considered for qualified locations such as bars, nightclubs, adult-only lounges, adult entertainment establishments, and other venues that satisfy applicable age and access requirements. The inclusion of a venue category in this Notice does not mean that every business within that category qualifies. Each location is reviewed individually.

We may request information or documentation concerning venue access policies, minimum entry age, hours of operation, licensing, location of the proposed machine, employee supervision, customer access, business permits, and other compliance-related matters.

7. Permits and Licenses

Age-restricted vending may require licenses, permits, registrations, certificates, or other governmental authorizations. Requirements vary depending on product, state, county, municipality, venue, machine, business structure, and type of retail activity.

Venue Vending Ventures will obtain permits or approvals that applicable law requires. Venue partners remain responsible for permits, licenses, and regulatory obligations applicable to their own businesses and premises. No private agreement eliminates a legal obligation imposed directly on a party by law.

8. Florida Placements

For placements in Florida, tobacco and nicotine products are regulated under Chapter 569 of the Florida Statutes and other applicable laws and regulations. Florida may require retail nicotine-product dealer permits for locations or vending machines through which nicotine products are sold.

Florida also regulates sales to persons under 21, age verification, vending-machine operation, access to nicotine products, permitting, product distribution, certain nicotine dispensing devices, product signage, and other retail practices. Venue Vending Ventures will evaluate Florida placements based on the laws applicable at the time of placement and operation.

9. Product Legality and Authorization

Venue Vending Ventures intends to offer only products that may lawfully be sold and distributed through the applicable placement. Products may be subject to federal, state, or local restrictions independent of the legality of the vending machine itself.

For electronic nicotine delivery systems and other tobacco products regulated by the U.S. Food and Drug Administration (FDA), federal marketing authorization requirements may apply. We may remove, discontinue, refuse to stock, or replace a product if its legal status changes, a regulator restricts its sale, required authorization is unavailable, the product becomes subject to enforcement action, a supplier cannot provide adequate documentation, or we otherwise determine that continued sale presents an unacceptable legal, operational, or compliance risk.

10. FDA Authorization Does Not Mean FDA Approval or Safety

FDA authorization allowing a tobacco or nicotine product to be marketed does not mean that the product is "FDA approved," safe, or free from health risks. Tobacco and nicotine products can be harmful and addictive. People who do not currently use tobacco or nicotine products should not begin using them.

Nothing on the Venue Vending Ventures Website, vending machines, marketing materials, or other communications should be interpreted as medical or health advice or as a representation that vaping, nicotine, tobacco, or another age-restricted product is safe.

11. Product Availability

Products shown on our Website, vending-machine displays, marketing materials, photographs, or other communications may not be available at every location. Product selection may depend on applicable law, regulatory status, venue type, machine configuration, customer demand, inventory availability, supplier availability, local restrictions, and business considerations.

Venue Vending Ventures may modify the products offered at a location at any time, subject to any applicable placement agreement.

12. Venue Partner Responsibilities

Venue partners participating in an age-restricted vending program are expected to cooperate with reasonable compliance requirements applicable to their location. This may include maintaining accurate information concerning venue access policies, informing Venue Vending Ventures if minors become permitted on premises, maintaining any licenses required of the venue, maintaining required signage, not interfering with age-verification or machine security systems, preventing unauthorized tampering, permitting reasonable compliance inspections, and promptly notifying Venue Vending Ventures of suspected underage access or unlawful activity.

A venue partner must promptly inform Venue Vending Ventures if circumstances change in a way that could affect the legality or suitability of an age-restricted placement.

13. Venue Vending Ventures Responsibilities

Venue Vending Ventures is responsible for complying with legal obligations applicable directly to Venue Vending Ventures in connection with its operation of age-restricted vending machines. Depending on the jurisdiction and arrangement, these responsibilities may include retail dealer permits, machine permits, product sourcing, machine configuration, product eligibility, age-verification technology, required records, required signage, operational controls, and regulatory cooperation.

14. No Circumvention of Age Controls

Users must not attempt to bypass, disable, manipulate, defeat, or interfere with an age-verification or access-control system. Prohibited conduct includes using another person's identification, providing identification to an underage purchaser, manipulating an ID scanner, tampering with a vending machine, attempting to bypass age controls, providing false information, assisting an underage person in obtaining a restricted product, or altering or damaging compliance equipment.

Suspected misuse may result in cancellation of a transaction, suspension of machine access, removal of a machine, or other appropriate action. Conduct suspected to violate applicable law may be reported to appropriate authorities.

15. No Youth-Oriented Marketing

Venue Vending Ventures does not intend to market age-restricted products to minors. Our age-restricted vending program is intended for qualified adult venues and lawful adult purchasers. We do not intend to use our trading-card or collectible vending business to market nicotine, tobacco, vaping products, or other age-restricted products to minors.

16. Separation From Trading-Card and General Vending

Venue Vending Ventures also operates or may operate vending machines that do not contain age-restricted products, including trading cards, collectibles, and other general consumer merchandise. A venue does not need to be 21+ merely because Venue Vending Ventures offers age-restricted vending elsewhere.

Age restrictions apply according to the particular product, machine, venue, placement, and jurisdiction. A trading-card or collectible vending placement should not be interpreted as involving nicotine, tobacco, vaping products, or other age-restricted merchandise unless expressly stated.

17. Website Does Not Sell Age-Restricted Products

The Venue Vending Ventures Website is primarily a business-development and venue-placement website. The Website does not currently function as an online store for direct consumer purchases of nicotine, tobacco, vaping products, or other age-restricted merchandise. Information concerning 21+ vending is provided for prospective venue partners and other legitimate business purposes.

18. Changes in Law

Laws and regulations governing nicotine, tobacco, vaping products, age verification, vending machines, and retail sales can change. Venue Vending Ventures may change product offerings, machine configurations, placement requirements, venue eligibility standards, verification technology, operational procedures, geographic availability, and compliance requirements in response to new laws, regulations, regulatory guidance, enforcement actions, court decisions, or business considerations.

A placement that is permissible at one time may later require modification or discontinuation.

19. Right to Suspend or Remove a Machine

Venue Vending Ventures may suspend sales, disable age-restricted products, or remove an age-restricted vending machine when reasonably necessary to address regulatory changes, suspected underage access, compliance concerns, permit issues, product eligibility issues, machine tampering, safety concerns, venue-policy changes, loss of venue eligibility, governmental requests or orders, or other material legal or operational risks.

20. No Legal or Regulatory Advice

Information provided on our Website regarding age-restricted products is intended for general informational purposes. It is not legal, regulatory, medical, or professional advice. Laws vary by jurisdiction and may change over time. Businesses considering an age-restricted vending placement should consult qualified legal or regulatory professionals regarding obligations specific to their location when appropriate.

21. No Guarantee of Compliance Based on Technology

Venue Vending Ventures may use modern vending technology designed to assist with responsible operation. However, no vending-machine feature, ID scanner, age-verification provider, software platform, payment processor, lockout mechanism, or monitoring platform can independently guarantee legal compliance.

Compliance depends on the complete circumstances of the placement, including applicable law, venue access, product eligibility, permits, equipment configuration, and operating practices.
